Except as expressly provided in this Agreement, the Foundation does not grant any express or implied rights to you. The Contents are Copyright 2011, CityBridge Foundation and/or its affiliates and suppliers. All rights reserved. The Foundation also owns copyright rights in the Site as a collective work and/or compilation, and in any and all databases accessible on or through the Site. No Content may be copied, distributed, republished, uploaded, posted or transmitted in any way except pursuant to the express provisions of the Terms of Use or with the prior written consent of the Foundation or its designee. Modification or use of the Content for any other purpose may violate intellectual property rights. No title to copies or to intellectual property rights are transferred to users—all title and rights remain with the Foundation.
Grant of License
The Foundation grants to you a personal, revocable, nonexclusive, nontransferable license to use this Site conditioned on your continued compliance with this Agreement. Limited portions of the Content available in the public areas of the Site may be accessed, printed and downloaded on an occasional basis for personal, scholarly, research, or other non-commercial purposes; provided that all hard copies contain all copyright and other applicable proprietary rights notices included in such content and information and/or appropriate attribution to the Foundation in a form and manner acceptable to us. You may not use Content in any manner that suggests the endorsement or association of any third-party entity, person, product or service by the Foundation unless express written permission has been given by the Foundation in advance. You may not under any circumstances copy, print or download in any medium all or substantially all of the Content.
Copyright Agent
The Foundation respects the intellectual property rights of others and requests that Site users do the same. Anyone who believes that their work has been infringed under copyright law may provide a notice to the designated Copyright Agent for the Site containing the following:
• An electronic or physical signature of a person authorized to act on behalf of the owner of the copyright interest
• Identification of the copyrighted work claimed to have been infringed

Availability of Filtering Software
We do not believe that the Site contains materials that would typically be the subject of filtering software and minors are not authorized to visit our Site. Nevertheless, all users are hereby informed that parental control protections (such as computer hardware, software, or filtering services) are commercially available that may assist in limiting access to material that is harmful to minors. User Representations
You represent and warrant to the Foundation that you will not use this Site for any purpose that is unlawful or prohibited by these Terms of Use, including but not limited to attempting or actually (a) disrupting, impairing or otherwise interfering with the operation or integrity of the Site or circumventing any Site security system; (b) collecting any information about other users of the Site; or (c) systematically extracting Content or other information or data contained in the Site to populate databases or other sites for internal or external use.

Enforcing Security

Governing Law and Forum
This policy shall be governed by the laws of Washington, DC, without regard to conflicts of law rules, and the exclusive jurisdiction and venue for any dispute shall be Washington, DC. You agree to submit to the jurisdiction of the state and federal courts in Washington, DC for the purposes of any judicial proceedings relating to or arising from this Agreement.
Suspension, Termination
The Foundation reserves the right at any time and for any reason to deny you access to the Site or any portion thereof, and/or to terminate this Agreement.
Waiver
Failure to insist on strict performance of any of the provisions of this Agreement will not operate as a waiver of any subsequent default or failure of performance. No waiver by the Foundation of any right under this Agreement will be deemed to be either a waiver of any other right or provision or a waiver of that same right or provision at any other time.
Nature of Relationship/Severability
No joint venture, partnership, employment, agency or other relationship exists between you and the Foundation as a result of this Agreement or your use of this Site. If any provision of this Agreement is held unenforceable by a court or tribunal of competent jurisdiction, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect.
Entire Agreement/Reservation of Rights
These Terms of Use and the Foundation’s Privacy Policy represent the entire agreement between you and the Foundation with respect to your access to or use of any material available on or through the Site, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written between you and the Foundation with respect to same. Any rights not expressly granted under this Agreement are reserved.

The CityBridge Foundation (the “Foundation”) is committed to protecting your privacy. Please read this Privacy Policy, as well as our website Terms of Use, for more details about how we use information you submit to this web site located at http://www.citybridge.org (the “Site”). This Privacy Policy, together with our website Terms of Use, constitute the entire agreement between you and the Foundation relating to this Site. By your use of the Site, you consent to be governed by this Privacy Policy.
We reserve the right, at our discretion, to change, modify, add, or remove portions of this Privacy Policy at any time. Your continued use of the Site following reasonable notice of such modifications will be conclusively deemed acceptance of any changes to this Privacy Policy. Personal Information Provided by You
The Foundation only collects your personally identifiable information (“Personal Information”) through this Site when you choose to provide such information or as otherwise described in this Privacy Policy. This Privacy Policy does not address personal information that you provide to us in other contexts (e.g., through a business relationship not handled through the Site). Personal Information can include your name, address, telephone number, and/or email address. The Foundation uses your Personal Information to address your requests for information, products or services, and may use it at some point in the future to fulfill business transactions. The Foundation will not sell, rent, license, or trade your Personal Information with third parties for their own direct marketing use unless you give us general or specific consent to do so. Any change to this Privacy Policy that materially affects your rights to your Personal Information will not take effect until 30 days after notice of such change is posted on the Site, during which time you may notify us that you do not accept such change. Your continued use of the Site after such 30 day period will mean that you accept such changes.

Automatically Collected Information and Anonymous Information
Each time a visitor comes to the Site, the Foundation collects some information to improve the overall quality of the visitor’s online experience, including product/service monitoring, product/service improvement, and targeted advertising. Such information may include referral data (e.g., the address of the last URL a user visited prior to clicking through to the Site) and your web browser and operating platform type.
1. Aggregated Data : In addition to collecting these types of information, the Foundation collects aggregate queries for internal reporting and targeted advertising. The Foundation also counts, tracks, and aggregates the visitor's activity into the Foundation’s analysis of general traffic flow at the Site. To these ends, the Foundation may merge information about you into aggregated group data and other databases. In some cases, the Foundation may remove personal identifiers from Personal Information and maintain it in aggregate form that may later be combined with other information to generate anonymous, aggregated statistical information. Such anonymous, group data may be shared on an aggregated basis with the Foundation’s affiliates, business partners, service providers and/or vendors; if it does so, the Foundation will not disclose your individual identity (except as permitted under this Privacy Policy).
2. Web Server Logs and IP Addresses : An Internet Protocol (“IP”) address is a number that automatically identifies the computer/machine you have used to access the Internet. The IP address enables our server to send you the webpages that you want to visit, and it may disclose the server owned by your Internet Service Provider. The Foundation may use IP addresses to conduct Site analyses and performance reviews and to administer the Site.
3. Cookies and Web Beacons : Cookies are pieces of information that a web site transfers to a user’s computer for purposes of storing information about a user’s preferences. Cookies in and of themselves do not personally identify users, although they do identify a user’s computer. Many web sites use cookies as a standard practice to provide useful features when a user visits the site and most web browsers are set up to accept cookies. Security
The Foundation has established reasonable precautions to protect collected Personal Information from loss, misuse, unauthorized access, disclosure, alteration or destruction, which include contractual, administrative, physical, and technical steps. Technical measures include use of firewall protection and in some instances may include encryption technology. Although the Foundation takes reasonable precautions to assess the reliability of such technology, it relies on the statements of the vendors of those products and services as part of its security evaluation. Children’s Privacy Protection
The Foundation understands the importance of protecting children's privacy in the interactive online world. The Site is not designed for, or intentionally targeted at, children 13 years of age or younger. Opt-Out/Changes
At certain locations on the Site where information about you is requested, the Site provides you the opportunity to opt-out of receiving communications from the Foundation.
